Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Trayn website and platform (the “Service”) operated by Vidara LLC (“Vidara,” “we,” “us,” or “our”), located at 1111 South Governors Ave, Dover, Delaware 19904, United States. By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation, and “you” includes that organisation.

1. The Service

Trayn provides AI-assisted training, course authoring, spoken practice with AI trainers, scoring, analytics, and related tools for enterprise and professional learning. Features may evolve over time. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.

2. Accounts and eligibility

You must provide accurate account information and keep credentials confidential. You are responsible for activity under your account. The Service is intended for users 18 years or older (or the age of majority in your jurisdiction) in a business or professional context. We may suspend or terminate accounts that violate these Terms or present security or legal risk.

3. Customer organisations

If you access Trayn under a company subscription, your organisation’s administrator may manage users, content, and settings, and may access training activity associated with your account. Additional commercial terms (order forms, MSAs, DPAs) may apply between Vidara and your organisation and will control in the event of conflict with these Terms for paid enterprise use.

4. Acceptable use

You agree not to:

• Use the Service unlawfully or to violate others’ rights
• Upload malware, attempt unauthorised access, or disrupt the Service
• Reverse engineer or scrape the Service except as allowed by law
• Use AI outputs to train competing models in violation of our agreements or applicable law
• Misrepresent your identity or affiliation
• Upload content you do not have rights to use
• Use the Service to create or disseminate illegal, harmful, or abusive content

5. Customer content and AI outputs

You retain rights to content you submit (“Customer Content”), and grant Vidara a licence to host, process, transmit, and display that content as needed to provide and improve the Service. You are responsible for Customer Content and for obtaining any required consents from employees or learners.

AI-generated scenarios, feedback, transcripts, and scores are probabilistic and may contain errors. You should review outputs before relying on them for high-stakes employment, compliance, or certification decisions. Trayn is a training aid, not a substitute for human judgment, licensed professional advice, or your organisation’s policies.

6. Intellectual property

The Service, including software, branding, design, and documentation, is owned by Vidara or its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms or your customer agreement, no rights are granted. Feedback you provide may be used by Vidara without obligation to you.

7. Trials, fees, and payment

Free trials or demos may be offered with limited features or duration. Paid plans are billed according to the applicable order form or pricing page, which may include a platform subscription and metered practice usage. Fees are non-refundable except as required by law or expressly stated in writing. Late amounts may incur suspension of access. Taxes are your responsibility unless we state otherwise.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party will use that information only to perform under these Terms and will protect it with reasonable care. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received from another source without duty.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy. Enterprise customers may require a data processing agreement for learner data.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDARA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE OR COMPLETE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIDARA AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO VIDARA FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. THESE LIMITATIONS APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnity

You will defend and indemnify Vidara against claims, damages, and expenses arising from your Customer Content, your use of the Service in violation of these Terms, or your violation of law or third-party rights.

13. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for breach, risk, non-payment, or as required by law. Upon termination, your right to use the Service ends. Sections that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive.

14. Governing law

These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules. Courts in Delaware shall have exclusive jurisdiction, except where applicable law requires otherwise or your customer agreement specifies a different venue.

15. Changes

We may update these Terms by posting a revised version on this page and updating the “Last updated” date. Continued use after changes become effective constitutes acceptance, except where your customer agreement requires a different amendment process.
